Work w/in the M&A/Private Equity practice grp to advise corporate & private equity clients in complex corp. transactions. Reqs a JD or LLM, or foreign quiv. Reqs admission to the CA bar. Reqs 5 yrs exp as an Associate, Law Clerk, or related w/ a corporate law firm focusing on corporate M&A transactions & private equity (PE) matters. Exp. must incl.: Advising on transactions in US & int’l jurisdictions; Advising corporate & PE clients on a broad range of transaction structures, incl. mergers, stock & asset acquisitions & divestitures, minority investments, joint ventures, corp. restructurings, arrangements, & amalgamations, across public & private co. transactions; Drafting & revising merger agreements, stock & asset purchase agreements, arrangement & amalgamation agreements, underwriting agreements, PPMs, subscription agreements, indentures, credit agreements, lock-up agreements, registration rights agreements, investor rights agreements, joint venture agreements, operating agreements, transition services agreements, articles & bylaws, bid letters, term sheets, confidentiality agreements, & other ancillary transaction documents; Conducting & overseeing comprehensive due diligence reviews of commercial contracts, financing arrangements, corporate organizational docs, & other corporate materials, identifying legal risks, & preparing detailed due diligence reports; Managing transaction deal teams, coordinating w/ internal specialists, organizing deal workflows, maintaining closing checklists, & supporting execution thru signing & closing; & Supervising junior associates.
